MedRepublic is an online global marketplace for health care providers ("Providers") outside the United States to provide information about their treatments and for United States based patients and patients based elsewhere to access such providers.

MedRepublic provides the following Services through its site, www.MedRepublic.com (“Site”). MedRepublic provides price and quality information transparently for all procedures and treatments listed by Providers on the MedRepublic Site. MedRepublic Users, defined below, may use the site to identify Providers, obtain information about fees and costs, securely exchange health information with Providers, and make all necessary travel arrangements. All communications are through the MedRepublic secure platform.

Please read these Terms of Service ("Terms") carefully. These Terms are between Users of the MedRepublic Site and its Services ("Users" or "you" or "your") and MedRepublic, Inc. ("MedRepublic," "we" or "our") and these Terms cover use of this website, www.MedRepublic.com, ("Site") and the services and information available on this website ("Service"). You accept these Terms by accessing or using the Site or the Service or registering/signing up with MedRepublic and you agree to be bound by these Terms and MedRepublic’s Privacy Policy. If you do not agree to abide by or be bound by these Terms, then do not access the Site or use the Service.

  1. Modification
    MedRepublic reserves the right to make changes to the Site, Services, Terms, and other policies without notice. Accessing or using the Site shall be acceptance of these Terms. If any condition shall be deemed invalid, void or for any reason unenforceable, then that condition shall be deemed severable and shall not affect the validity of the remaining conditions. Your continued use of the Service and the Site after any such changes are posted constitutes your acceptance of the new Terms. If you do not agree to abide by these or any future Terms, you may not use or access the Service or the Site.
  2. No Medical Advice
    MedRepublic is a website and is not a health care provider of any kind. Providers may post information, including any text, graphics images or other material contained, accessed or entered on the Site and the Site may include links to third party sources of health care information ("Content"), for educational/informational purposes only. Content on the Site is not a substitute for medical advice, diagnosis or treatment provided by a qualified healthcare professional. Any communication between you and a Provider on the Site or through the Service is for general informational purposes only, or to arrange for health care treatment from one or more Providers and does not create nor is it intended to create a physician-patient relationship with MedRepublic or a Provider, as defined by United States federal and state law. Your reliance on any information or Content provided on the Site, whether or not it is provided by a Provider, third party or other healthcare professional, is solely at your own risk. You should always seek the advice of your physician or healthcare professional for any questions you may have about any medical condition.
  3. How and When You May Use the Site or Service
    You may use the Service only to search for healthcare providers outside of the United States, obtain information about and arrange for services with such healthcare providers and, following receipt of services, to post reviews based on your personal experiences with Providers engaged through the Site.
    Except to the extent you are otherwise directly authorized by MedRepublic, you may use the Service only for personal, non-commercial uses, and may not use the Service to advertise or promote a product, service, procedure, business, healthcare professional, or other person.
    For example, and without limiting the foregoing, you may not use the Service to post any reviews, questions, answers or other information:
    • With respect to any provider other than a Provider (i) from which you have received Services through the Site; and (ii) with whom you have no other direct or indirect personal or financial relationship;
    • With respect to a business you own or by which you are employed;
    • That are false or misleading, including reviews that are fabricated or exaggerate positive results; or
    • That are repetitive or duplicative with respect to the product, service, procedure, business, healthcare professional, or other person about which they concern (e.g., it is not acceptable to post multiple similar reviews about your experience with a procedure in one or more areas of the website); or
    • That are for, on behalf of, or at the request of another person, if such other person would violate any of the above by posting such content.
  4. If you breach this Terms and use the Service for advertising, promotion, or other commercial or non-personal uses (including any of the prohibited examples above), you acknowledge that you will have caused substantial harm to MedRepublic, but that the amount of such harm would be very difficult to determine. As a reasonable estimation of such harm, you agree to pay MedRepublic $1,000 for each such prohibited review, question, answer or other content you post or submit on or through the Service which shall be charged to the credit card or bank account provided to MedRepublic and MedRepublic may exclude your access to the Site at any time for any reason or no reason.
    Additionally, you may not:
    • Use the Site or Service or register as a User of MedRepublic if you are under the age of 18 years;
    • Use the Service in any way or for any purpose that violates any local, state, federal or any other applicable laws of the United States or any applicable laws of your jurisdiction;
    • Use the Service in any way or for any purpose that harms or endangers any person or business including MedRepublic or MedRepublic affiliates, resellers, distributors, service providers and/or suppliers (collectively, the "MedRepublic Parties"), or any customer of a MedRepublic Party, other than an honest review of a Provider based upon personal experience;
    • Use the Service to exploit, solicit or harm minors;
    • Post or submit any content that is racist, sexist, inflammatory, defamatory, hateful, harassing, threatening, abusive, profane, obscene, vulgar or sexually explicit, pornographic, false, misleading, fraudulent, invasive of another’s privacy or publicity rights, infringing of another’s intellectual property rights, involves or promotes gambling, contains any trade secrets or other confidential information, or otherwise offensive or objectionable;
    • Promote, encourage or glorify violence, self-harm, suicide, anorexia, bulimia, or any other practice that is unhealthy or harmful;
    • Post your name, email address(es) or telephone number(s), URL(s) or any other confidential or personally identifiable information for you or any other person, business or entity;
    • Provide or purport to provide medical advice, prescription, diagnosis, or treatment recommendations;
    • Register for multiple accounts or use the account of another person;
    • Impersonate or pretend to be any person other than yourself;
    • Use the service to attempt to solicit business or direct website visitors to any non-MedRepublic third party for any purposes;
    • Apply any data mining, robots, or similar data gathering and extraction methods in connection with the Site;
    • Post links to sites or files that contain or are viruses, spyware, malware, or other harmful code or content;
    • Attempt to interfere with or disrupt the Site or any person’s ability to use the Site; or
    • Use the Site for any purposes for which the Service is not intended.
  5. MedRepublic may establish certain specific harmful or additional prohibited uses in community guidelines, a code of conduct or other notice available through the Site. We have, however, no obligation to provide advance notice thereof. You agree to abide by any community guidelines, codes of conduct or other notices we provide. Any use of the Service other than as specifically authorized herein, without the prior written permission of MedRepublic, is strictly prohibited.
    In addition, MedRepublic is not obligated to enforce these Terms against another user, healthcare professional or other third-party on your behalf. If you believe another user, healthcare professional or other third-party has violated these Terms, then please contact MedRepublic. MedRepublic reserves the right to investigate the matter and take whatever action or no action MedRepublic deems appropriate in its sole discretion.
  6. Your Service Account; Email Consent
    In order to use some of the features on the Site, you are required to register and provide information about yourself to us and create a service account ("Service Account"). It is your responsibility to maintain the confidentiality of your account information, including your Service Account password. In addition, you are responsible for all activities that occur in connection with your Service Account. You must tell us right away about anyone using your Service Account without your consent, or any security breach that relates to the Service or your Service Account. You agree to provide MedRepublic accurate, current and complete information about yourself as may be prompted in any registration forms on the Service and promptly update any such information to keep it accurate, current and complete. MedRepublic reserves the right to refuse the Service to anyone, including terminating your Service Account and/or preventing you from accessing the Service or your Service Account, with or without cause, at any time and in its sole discretion.
    By using the Site or Service, you consent to receive emails from MedRepublic, which may include commercial emails provided such emails are in accordance with the preferences on the Site. Please note that as long as you maintain an account, you may not "opt out" of receiving service or account-related emails from MedRepublic and such e-mails may be the only form of communication between MedRepublic and you.
  7. Materials You Post or Provide; Communications Monitoring
    MedRepublic may have access to or receive certain information of or about you that you designate as confidential or that, under the circumstances surrounding disclosure, ought to be treated as confidential by MedRepublic ("Confidential Information"). Confidential Information includes information relating to you including medical records and medical information. While MedRepublic will use due care and diligence to prevent the unauthorized use or disclosure of such information, MedRepublic is not liable for any harm suffered as a result of unauthorized use or disclosure of such information. 
    By providing Confidential Information you give explicit consent to MedRepublic and to Providers to use that information for the purposes of providing you Services.
    You may be able to post or submit reviews, comments, questions, messages, photographs, videos (including videos created through a third-party tool) and other materials related to the Service on or through the Service in connection with the Service (collectively, "Review" or "Reviews"). All posted reviews are available to the public through the Site and may be accessed by third parties without notice to You. Your Reviews, including personally identifiable information, are made voluntarily and are subject to the Terms of Service and Privacy Policy and you understand MedRepublic will not be required to treat any of your Reviews as confidential. In addition, you understand and agree that your Reviews are non-confidential and are publicly available for anyone to view on the Site or through the Service. MedRepublic disclaims ownership of such Reviews you post or submit.
    By posting or otherwise providing your Review, you are expressly granting MedRepublic a nonexclusive, irrevocable, worldwide, perpetual, royalty free license (including sublicense) to use, copy, distribute, publicly display, publicly perform, modify (including create derivative works) or transmit (including digital transmission of a sound recording) your Review, in connection with the Service and MedRepublic’s business, including without limitation promoting and redistributing part or all of the Service or MedRepublic’s business, in any media formats and through any media channels now known or hereafter developed. You also grant MedRepublic permission to publish your name in connection with your Review and to use your name, likeness and voice in connection with your Review. In addition, by uploading Reviews to the MedRepublic website, you hereby waive any rights of privacy or publicity. You also grant MedRepublic the permission to grant any of the above rights to other persons or entities, including for the purpose of promoting the Service or MedRepublic’s business.
    MedRepublic will not pay you for your Review. MedRepublic may, in its sole discretion, refuse, or remove part or all of your Review from the Service at any time if MedRepublic considers the Review to violate these Terms or MedRepublic’s community guidelines. For each Review, you represent and warrant that you have all rights necessary for you to post or submit the Review and to grant the licenses and permissions in this section. We do not monitor user Reviews or disclose information about your Reviews to third parties. However, we may monitor your Reviews on or through the Service and may disclose information about you, including the contents of such Reviews, if we deem it necessary to: (1) conform to legal requirements or respond to legal process; (2) ensure your compliance with these Terms or other MedRepublic guidelines or policies; or (3) protect the rights, property, or interests of MedRepublic, its employees, its customers, or the public.
    You may also request information directly from a specific healthcare professional by submitting an inquiry through their profile or inquiry form. You understand these requests, including personally identifiable information, are made voluntarily and are subject to the Privacy Policy. There is no guarantee that a healthcare professional will respond to any request submitted through their profile or inquiry form.
  8. Reviews or Content Posted by Others
    MedRepublic does not have any responsibility, including editorial control, of any content posted by other MedRepublic users, healthcare professionals or other third party content providers on the Site. The statements or content posted by MedRepublic users, healthcare professional or other third party content providers on the Site are those of the users, healthcare professional or other third party content providers and are not the opinion of MedRepublic. MedRepublic does not make any representations or warranties about the accuracy or reliability of the content, including the opinions, statements or information posted by the MedRepublic users, healthcare professional or other third party content providers on the Site. The MedRepublic users, healthcare professionals and other third party content providers are solely responsible for the content posted by them respectively.
    MedRepublic does not endorse or recommend any specific Content, procedures, products, opinions, healthcare professionals (including, but not limited to, doctors and dentists) or any other material or information available on the Site or through the Service. In addition, the healthcare professionals and specialists featured on the Site are not employees or independent contractors of MedRepublic.
    MedRepublic Site is solely for use by adults. Children under the age of 18 years are not granted User status. There may be medical related or health related materials posted by MedRepublic users, healthcare professionals or other third parties that may contain nudity. If you find these materials to be offensive, then you may want to use the Site or Service in such a way as to limit your viewing of this material.
  9. Performance and Usage Information
    We may automatically upload performance and usage data for evaluating the Service, the Site and the software associated with the Service and the Site. This data will not personally identify you.
  10. Links to Other Websites
    The Service may contain links to other websites maintained by third parties ("Third Party Website") or you may be able to log into the Service through a Third Party Website. Third Party Websites are not under the control of MedRepublic and MedRepublic does not endorse or assume any responsibility for the content, information or functionality of any Third Party Website. As a result, your access or use of any Third Party Website is at your own risk and MedRepublic’ Terms, Privacy Policy, community guidelines and any other policies do not apply or govern any Third Party Website. You expressly relieve MedRepublic of any and all liability related to the functionality, content or information contained on any Third Party Website. In addition, your dealings with or participation in promotions of third parties founds on the Site or Service, including payment and delivery of goods or services any other terms (such as warranties) are solely between you and the third parties. You agree that MedRepublic shall not be responsible for any loss or damage of any kind relating to your dealings with such third parties.
  11. We Disclaim All Warranties
    We provide the Service "AS-IS," "WITH ALL FAULTS" and "AS AVAILABLE." MedRepublic disclaims all warranties, guarantees or conditions. Without limiting the foregoing, to the extent permitted by law, we exclude and disclaim all implied warranties, including those of merchantability, fitness for a particular purpose, workmanlike effort and non-infringement. IN ADDITION, IN NO EVENT SHALL MedRepublic BE LIABLE TO YOU OR TO ANYONE FOR ANY DECISION MADE OR ACTION TAKEN BY A PARTY (INCLUDING, WITHOUT LIMITATION, BY ANY USER) IN RELIANCE ON ANY CONTENT OR OTHER INFORMATION ABOUT PROFESSIONALS OR PROCEDURES POSTED ON THE SITE OR AVAILABLE THROUGH THE SERVICE.
  12. MedRepublic’s Intellectual Property Rights
    MedRepublic grants you a limited, personal, revocable, nonassignable and nonexclusive license to use the Site and Service. MedRepublic owns the text, photographs, videos, visual interfaces, interactive features, graphics, design, compilation, computer code, products, software and all other elements and components of the Site and Service ("MedRepublic Content"), excluding Content posted by Providers and other third parties. MedRepublic owns the copyrights, trademarks, service marks, trade names and other intellectual property and proprietary rights throughout the world associated with the MedRepublic Content and the Service which are protected by copyright, trade dress, patent, trademark laws and all other applicable intellectual and proprietary rights and laws. You may not modify, reproduce, republish, frame, download, transmit, distribute, rent, lease, loan, sell, assign, license, sublicense, reverse engineer, publicly display or create derivative works based on the Service, any of MedRepublic’s Content in whole or in part, or MedRepublic’s website except as expressly authorized in writing by MedRepublic. In addition, MedRepublic does not grant any express or implied rights, and all rights in and to MedRepublic’s website, the Service and MedRepublic’s Content, are retained by MedRepublic.
  13. Liability Limitation; Your Exclusive Remedy
    TO THE EXTENT PERMITTED BY LAW, IN NO EVENT WILL MedRepublic BE LIABLE TO YOU OR TO ANY THIRD PARTY FOR ANY INDIRECT, CONSEQUENTIAL, SPECIAL, INCIDENTAL, EXEMPLARY, OR PUNITIVE DAMAGES EVEN IF MedRepublic HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING IN THIS CONTRACT, THE AGGREGATE LIABILITY OF MedRepublic TO YOU IN CONNECTION WITH THE SERVICE (INCLUDING ANY THIRD PARTY CONTENT ON THE SERVICE) AND THIS CONTRACT WILL BE LIMITED TO THE AMOUNT, IF ANY, PAID BY YOU TO MedRepublic FOR THE SERVICE.
    Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations or exclusions may not apply to you.
  14. Changes to the Service; Updates; Cancellation of Service
    We may change the Service, the Site or delete features at any time and for any reason. We are not obligated to provide maintenance, technical support or updates to you for the Service or Site, but we may provide these in our discretion. We may cancel or suspend your Service at any time. Our cancellation or suspension may be without cause and/or without notice. You may cancel the Service at any time, with or without cause, upon notice to us as specified in the customer support or "contact us" area for the Service. Upon Service cancellation, your right to use the Service stops right away. Once the Service is cancelled or suspended, any data you have stored on the Service may not be retrieved later. In addition, if you stop the Service or terminate your Service account, MedRepublic may continue to show some or all of your Reviews.
  15. Jurisdiction
    MedRepublic controls and operates the Site and the Service from the United States and MedRepublic makes no representation that the Content, Site or Service is appropriate, available or may be downloaded for use outside the United States. You are responsible for complying with all applicable laws. These Terms, the Site and the Service are governed by United States federal law and the laws of the State of California, excluding any conflicts of law provisions. Accessing, browsing or otherwise using the Service or the Site means you hereby consent to the exclusive jurisdiction of the state and federal courts in California and you waive all defenses of lack of personal jurisdiction and forum non conveniens with respect to venue and jurisdiction in the state and federal courts of California.
  16. Indemnification
    You agree to indemnify and hold harmless MedRepublic from and against any loss, liability, claim, demand, damages, costs and expenses, including reasonable attorney's fees, arising out of or in connection with any content you post or submit to or through the Service, your use of the Service, your conduct in connection with the Service or with other users of the Service, and any violation of this contract or of any law or the rights of any third party.
  17. Claim Must Be Filed Within One Year; Arbitration
    Any dispute, claim or controversy arising out of or relating to these Terms, MedRepublic, the Site or the Service or the breach, termination, enforcement, interpretation or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by final and binding arbitration as the sole and exclusive remedy for such controversy or dispute. Any claim shall be made by filing a demand for arbitration within one (1) year following the event first giving rise to the claim. The arbitration shall be held in California before one arbitrator. The arbitration shall be governed by the Federal Arbitration Act and the arbitration shall take place according to the rules of the American Arbitration Association. Judgment on the Award may be entered in any court having jurisdiction. Each of the parties shall bear all of its own costs of arbitration except the fee for the arbitrator shall be equally split between the parties. The arbitrator shall not have the authority to modify these Terms or award punitive or exemplary damages to either party. This clause shall not preclude parties from seeking provisional remedies in aid of arbitration from a court of appropriate jurisdiction. Seeking any such remedies shall not constitute a waiver of either party’s right to compel arbitration.
  18. Your Notices to Us
    You may notify us by e-mail or postal mail. Your notices to us must be addressed as stated in the [email protected] or "feedback" area for the Service.
  19. Our Notices to You; Consent Regarding Electronic Information
    This contract is in electronic form. There may be other information regarding the Service that the law requires us to send you. You agree that we may send you this information in electronic form. You have the right to withdraw this consent, but if you do, we may cancel your ability to use the Service. We may provide required information to you (1) via e-mail at the e-mail address you specified when you signed up for the Service (or subsequently provided when updating your account information), (2) by access to an MedRepublic web site that will be designated in an e-mail notice sent to you at the time the information is available, or (3) by access to an MedRepublic web site that will be generally designated in advance for this purpose. Notices provided to you via e-mail will be deemed given and received on the transmission date of the e-mail. As long as you access and use the Service, you will have the necessary software and hardware to receive these notices. If you do not consent to receive any notices electronically, you must stop using the Service.
  20. Miscellaneous
    These Terms constitute the entire agreement between you and MedRepublic regarding the use of the Service or the Site, and supersedes any prior agreements between you and MedRepublic relating to your use of the Service or Site. The failure of MedRepublic to exercise or enforce any right or provision of these Terms or any prior version of these Terms shall not constitute a waiver of such right or provision in that or any other instance. If any provision of these Terms is held invalid, the remainder of these Terms shall continue in full force and effect. If any provision of these Terms shall be deemed unlawful, void or for any reason unenforceable, then that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions.

MedRepublic provides an online platform that connects patients and providers of medical procedures on www.medrepublic.com (the �Site�).

This Agreement (the "Agreement") governs your use of the Site. The Site is owned and operated by MedRepublic ,Inc. d/b/a MedRepublic ("MedRepublic"). MedRepublic may, in its sole discretion, modify or revise these Terms of Service and policies at any time, and you agree to be bound by such modifications or revisions. Nothing in these Terms of Service shall be deemed to confer any third-party rights or benefits. If you do not agree to this Agreement (including any referenced policies or guidelines), please immediately discontinue your use of the Site.

YOU UNDERSTAND AND AGREE THAT MEDREPUBLIC IS NOT A PARTY TO ANY AGREEMENTS ENTERED INTO BETWEEN PROVDIERS/HOSPITALS AND USERS, NOR IS MEDREPUBLIC A MEDICAL PROVIDER OR HEALTHCARE ENTITY. MEDREPUBLIC HAS NO CONTROL OVER THE CONDUCT OF PROVIDERS OR USERS OF THE SITE, AND DISCLAIMS ALL LIABILITY IN THIS REGARD TO THE MAXIMUM EXTENT PERMITTED BY LAW.

IN THE EVENT OF ANY INCONSISTENCY BETWEEN THIS AGREEMENT AND ANY OTHER INFORMATION PROVIDED BY MEDREPUBLIC, ON THE SITE OR ELSEWHERE, THE TERMS OF THIS AGREEMENT SHALL PREVAIL.

Your Acceptance

By using or visiting the MedRepublic website or any MedRepublic products, software, data feeds, and services provided to you on, from, or through the MedRepublic website (collectively the "Service") you signify your agreement to (1) these terms and conditions (the "Terms of Service"); (2) MedRepublic �s Privacy Policy; and (3) Payment Terms incorporated herein by reference. If you do not agree to any of these terms, the MedRepublic Privacy Policy, or Payment Terms, please do not use the Site.

Age Eligibility

You must be at least eighteen (18) years old to access the site.

User Accounts

In order to access some features of MedRepublic, you will have to create a MedRepublic account. You may never use another's account without permission. When creating your account, you must provide accurate and complete information. You are solely responsible for the activity that occurs on your account, and you must keep your account password secure. You must notify MedRepublic immediately of any breach of security or unauthorized use of your account.

Although MedRepublic will not be liable for your losses caused by any unauthorized use of your account, you may be liable for the losses of MedRepublic or others due to such unauthorized use.

User may terminate the account at any time. If the User terminates his or her account, MedRepublic will delete or block the personal data and specific personal data of the User, with the exception of the user�s first and last name and email address, kept for legal use only.

User Obligations

You must give complete, true, and accurate information to both MedRepbulic and any providers or other third persons on the Site or in connection with Services performed through the Site. You must indemnify MedRepublic against any third party claims should they be brought due to a violation of the above duty to provide accurate information. You are also responsible for any legal costs MedRepublic may incur in such instances.

You agree not to use the Site to solicit the violation of any applicable local, state, national or international law.

If you furnish MedRepublic with a review(s) of a provider(s), you agree to the long-term storage and publishing of the provided review(s).

Information Collection and Privacy

If you would like information regarding our information collection practices, please refer to our Privacy Policy. By agreeing to our terms and conditions you have also agreed to accept our Privacy Policy. MedRepublic may access, preserve and disclose any of your information if we are required to do so by law, or if we believe in good faith that it is reasonably necessary to respond to claims asserted against MedRepublic or to comply with legal process (ex. subpoenas or warrants), or to protect the rights, property, or safety of MedRepublic, its users, or members of the public. Any necessary disclosure would be made according to HIPAA guidelines.

Payment terms

Payment in full will be made to MedRepublic. MedRepublic will then pay the provider or facility responsible for the procedure. Failure to pay may result in cancelation of the procedure by the provider. You will be responsible paying the price estimate given by the provider or facility. Further expenses may be charged by the provider or facility, and MedRepublic makes no guarantees that the initial quote will be the entire amount of payment required.

Cancellation Policy

Each provider has his or her own cancelation policy. MedRepublic will refund any monies collected via the specific provider�s policy.

Foreign Currency

Each foreign currency conversion is processed at a foreign currency conversion rate. This rate generally refers to the amount of one currency that must be paid to buy a certain amount of another currency at a given time. For example, if it costs US$125.00 to buy �100.00, the currency conversion rate of US dollars to Euros would be 1.25, and the currency conversion rate from Euros to US dollars would be 0.8. Currency conversion rates will vary from time to time.

Grant of Limited License

Subject to your compliance with these terms and conditions, MedRepublic grants you a limited, personal, non-commercial license to use the Site from a single computer solely as permitted under this Agreement.

Restrictions of Limited License

You agree that you will: (i) comply with all applicable laws in using or accessing the Site; (ii) not make any modification, adaptation, improvement, enhancement, translation, or derivative work of or to any portion of the Site; and (iii) not remove, alter, or obscure any proprietary notices (including copyright notices) of MedRepubic or any other information provider in any portion of the Site.

The use of the MedRepublic Site is at no charge to you. The information provided on the Platform is not a medical consultation and does not replace one. The decision to proceed with a procedure is not to be based solely on the informative material. Communicating with providers is for information gathering only and is not an official consultation and does not establish a doctor-patient relationship.

MedRepublic is not involved in contractual relationships between Users and Providers and also in no way influences the conclusion or the content of any contracts between you and any provider or third party, and has no rights nor liabilities as a result of any contracts between providers or third parties and you.

No Endorsement

MedRepublic does not endorse any provider(s). You understand that the photographs provided on the site are intended only to indicate a photographic representation of the provider and facility at the time the photograph was taken. Any reviews on the site are solely the work of previous patients and are in no way influenced by MedRepublic, other than being fact-checked if specific claims are made that may be considered defamatory in nature.

Remedies against providers or third parties

By using the Site or Services, you agree that any legal remedy or liability that you seek to obtain for actions or omissions of providers or other third parties will be limited to a claim against the particular providers or othere third parties who casued you harm. You agree not to attempt to impose liability on or seek any legal remedy from MedRepublic with respect to such actions or omissions.

Liability of MedRepublic for own services

MedRepublic does not make any promises or quality declarations about the Services rendered by it and does not grant any guarantees regarding those Services.

No Liability for Services or Representations of Third Parties

MedRepublic accepts no liability for the correctness or completeness of any information provided by Providers or any other third parties on the Site or in any websites to which links appear on MedRepublic. The relevant owner or operator of the websites alone is responsible for the content of linked sites.

Ownership

The Site, Services, and content are protected by the intellectual property and other laws of the United States and the State of California. You acknowledge and agree that the Site, its content, and all associated intellectual property rights are the exclusive property of MedRepublic and its licensors.

IN NO EVENT SHALL MEDREPUBLIC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS, BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES WHATSOEVER RESULTING FROM ANY (I) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT, (II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF OUR SERVICES, (III) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN, (IV) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM OUR SERVICES, (IV) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE, WHICH MAY BE TRANSMITTED TO OR THROUGH OUR SERVICES BY ANY THIRD PARTY, AND/OR (V) ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF YOUR USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA MEDREPUBLIC, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT THE COMPANY IS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE FOREGOING LIMITATION OF LIABILITY SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTION. YOU SPECIFICALLY ACKNOWLEDGE THAT MEDREPUBLIC SHALL NOT BE LIABLE FOR CONTENT OR THE DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF ANY THIRD PARTY AND THAT THE RISK OF HARM OR DAMAGE FROM THE FOREGOING RESTS ENTIRELY WITH YOU.

Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify and hold harmless MedRepublic, its officers, directors, employees and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to MedRepublic; (ii) your violation of any term of these Terms of Service; (iii) your violation of any third party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that your actions caused damage to a third party. This defense and indemnification obligation will survive these Terms of Service and your use of MedRepublic.

Assignment

These Terms of Service, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by MedRepublic without restriction.

Governing Law

You agree that: (i) MedRepublic shall be deemed solely based in California; and (ii) MedRepublic shall be deemed a passive website that does not give rise to personal jurisdiction over MedRepublic, either specific or general, in jurisdictions other than California. These Terms of Service shall be governed by the internal substantive laws of the State of California, without respect to its conflict of laws principles.

Entire Agreement

These Terms of Service together with the MedRepublic Privacy Policy and any other legal notices published by MedRepublic on the Site, shall constitute the entire agreement between you and MedRepublic concerning use of the Site. If any provision of these Terms of Service is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms of Service, which shall remain in full force and effect. No waiver of any term of this these Terms of Service shall be deemed a further or continuing waiver of such term or any other term, and MedRepublic�s failure to assert any right or provision under these Terms of Service shall not constitute a waiver of such right or provision. MedRepublic reserves the right to amend these Terms of Service at any time and without notice, and it is your responsibility to review these Terms of Service for any changes. Your use of MedRepublic following any amendment of these Terms of Service will signify your assent to and acceptance of its revised terms. YOU AND MEDREPUBLIC AGREE THAT ANY CAUSE OF ACTION ARISING OUT OF OR RELATED TO MEDREPUBLIC MUST COMMENCE WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, SUCH CAUSE OF ACTION IS PERMANENTLY BARRED.

Dispute Resolution

You and MedRepublic agree that any dispute that arises from use of the Site will be settled by binding arbitration, except that each party retains the right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights. You acknowledge and agree that you and MedRepublic are each waiving the right to a trial by jury or to participate as a plaintiff or class member in any purported class action or representative proceeding. Further, unless both you and MedRepublic otherwise agree in writing, the arbitrator may not consolidate more than one person's claims, and may not otherwise preside over any form of any class or representative proceeding. If this specific paragraph is held unenforceable, then the entirety of this �Dispute Resolution� section will be deemed void. Except as provided in the preceding sentence, this �Dispute Resolution� section will survive any termination of these Terms.

Arbitration Rules and Governing Law

The arbitration will be administered by the American Arbitration Association ("AAA") in Los Angeles, California, USA.

Arbitration Process

A party who desires to initiate arbitration must provide the other party with a written Demand for Arbitration as specified in the AAA Rules. The arbitrator will be selected by the parties from the AAA�s roster of consumer dispute arbitrators. If the parties are unable to agree upon an arbitrator within seven (7) days of delivery of the Demand for Arbitration, then the AAA will appoint the arbitrator in accordance with the AAA Rules.

Termination

MedRepublic reserves the right to terminate your account in the event of any use that is contrary to user duties designated above.

MedRepublic Privacy Policy

1. Introduction

Questions. If you have any questions or concerns about our privacy policy, contact us at MedRepublic.com.

Scope. This privacy policy covers all of MedRepublic. It does not, however, apply to entities that MedRepublic does not own or control.

Parental participation. We require that people under 18 years of age have parental participation in viewing and using the site.

2. Information We Receive

Information About Yourself. When you sign up for MedRepublic you provide us with your name, email, gender, and birth date. In some cases we may ask for additional information for security reasons or to provide specific services to you.

Content. If you do not want us to store metadata associated with content you share on MedRepublic (such as photos), please remove the metadata before uploading the content.

Transactional Information. We may retain the details of transactions or payments you make on MedRepublic.

Information we collect when you interact with MedRepublic: �Site activity information. We keep track of some of the actions you take on MedRepublic, such as search terms. In some cases you are also taking an action when you provide information or content to us.

Access Device and Browser Information. When you access MedRepublic from a computer, mobile phone, or other device, we may collect information from that device about your browser type, location, and IP address, as well as the pages you visit.

Cookie Information. We use "cookies" (small pieces of data we store for an extended period of time on your computer, mobile phone, or other device) to make MedRepublic easier to use, to make our advertising better, and to protect both you and MedRepublic. For example, we use them to store your login ID (but never your password) to make it easier for you to login whenever you come back to MedRepublic. We also use them to confirm that you are logged into MedRepublic, and to know when you are interacting with MedRepublic Platform applications and websites, our widgets and Share buttons, and our advertisements. You can remove or block cookies using the settings in your browser, but in some cases that may impact your ability to use MedRepublic.

Information we receive from third parties: �MedRepublic Platform. We do not own or operate the applications or websites that you use through the MedRepublic Platform. Whenever you connect with a Platform application or website, we will receive information from them, including information about actions you take. In some cases, in order to personalize the process of connecting, we may receive a limited amount of information even before you connect with the application or website.

Information from other websites. We may institute programs with advertising partners and other websites in which they share information with us:

  • We may ask advertisers to tell us how our users responded to the ads we showed them (and for comparison purposes, how other users who didn�t see the ads acted on their site). This data sharing, commonly known as �conversion tracking,� helps us measure our advertising effectiveness and improve the quality of the advertisements you see.
  • We may receive information about whether or not you�ve seen or interacted with certain ads on other sites in order to measure the effectiveness of those ads.

If in any of these cases we receive data that we do not already have, we will �anonymize� it within 180 days, meaning we will stop associating the information with any particular user. If we institute these programs, we will only use the information in the ways we explain in the �How We Use Your Information� section below.

3. Sharing information with MedRepublic.

Information we collect from you:

  • Name, email address, mailing address, and phone number
  • date of birth
  • user name and password
  • health or medical �information
  • credit card information
  • your location, if using a mobile device with location use allowance enabled

How we use this information:

  • to allow you to communicate with healthcare providers
  • to help the providers to help make the best decisions for your care
  • to allow you to pay for a surgery/procedure
  • to send you requested product or service information
  • to respond to your questions, concerns, or requests for information
  • to send you newsletters or email communications
  • to improve our website, app, and marketing efforts
  • to conduct internal quality improvement or business analysis
  • to calculate driving directions on your mobile device

MedRepublic reserves the right to use information it collects to various ways to enhance your experience and our site.

4. Information You Share With Third Parties.

As mentioned above, we do not own or operate the applications or websites that may be linked to from the MedRepublic Platform. That means that when you use those applications and websites you are making your information available to someone other than MedRepublic.

5. Connecting with an Application or Website.

You should always review the policies of third party applications and websites to make sure you are comfortable with the ways in which they use information you share with them. We do not guarantee that they will follow our rules. If you find an application or website that violates our rules, you should report the violation to us.

Pre-Approved Third-Party Websites and Applications. �In order to provide you with useful assistance from third party websites off of MedRepublic, we occasionally need to provide General Information about you to pre-approved third party websites and applications that use Platform at the time you visit them (if you are still logged in to MedRepublic). ��In this case we require these websites and applications to go through an approval process, and to enter into separate agreements designed to protect your privacy. �For example, these agreements include provisions relating to the access and deletion of your General Information, along with your ability to opt-out of the experience being offered. �If you log out of MedRepublic before visiting a pre-approved application or website, it will not be able to access your information.

Advertisements. Sometimes the advertisers who present ads on MedRepublic use technological methods to measure the effectiveness of their ads and to personalize advertising content. You may use your browser cookie settings to limit or prevent the placement of cookies by advertising networks. �MedRepublic does not share personally identifiable information with advertisers unless we get your permission.

Links. When you click on links on MedRepublic you may leave our site. We are not responsible for the privacy practices of other sites, and we encourage you to read their privacy statements.

6. How We Share Information

MedRepublic shares your information with third parties when we believe the sharing is permitted by you, reasonably necessary to offer our services, or when legally required to do so. For example:

When you make a payment. See Payment Terms.

To help improve or promote our service. Sometimes we share aggregated information with third parties to help improve or promote our service. But we only do so in such a way that no individual user can be identified or linked to any specific action or information.

To provide you with services. We may provide information to service providers that help us bring you the services we offer. For example, we may use third parties to help host our website, send out email updates about MedRepublic, remove repetitive information from our user lists, process payments, or provide search results or links (including sponsored links). These service providers may have access to your general personal (non-medical) information for use for a limited time, but when this occurs we implement reasonable contractual and technical protections to limit their use of that information to helping us provide the service.

To advertise our services. We may ask advertisers outside of MedRepublic to display ads promoting our services. We may ask them to deliver those ads based on the presence of a cookie, but in doing so will not share any other information with the advertiser.

To respond to legal requests and prevent harm. We may disclose information pursuant to subpoenas, court orders, or other requests (including criminal and civil matters) if we have a good faith belief that the response is required by law. This may include respecting requests from jurisdictions outside of the United States where we have a good faith belief that the response is required by law under the local laws in that jurisdiction, apply to users from that jurisdiction, and are consistent with generally accepted international standards. We may also share information when we have a good faith belief it is necessary to prevent fraud or other illegal activity, to prevent imminent bodily harm, or to protect ourselves and you from people violating our Terms of Service may include sharing information with other companies, lawyers, courts or other government entities.

Transfer in the Event of Sale or Change of Control. If the ownership of all or substantially all of our business changes, we may transfer your information to the new owner so that the service can continue to operate. In such a case, your information would remain subject to the promises made in any pre-existing Privacy Policy.

8. How You Can Change or Remove Information

Editing your profile. You may change or remove your profile information at any time by going to your account page. Information will be updated immediately.

Limitations on removal. Even after you remove information from your profile or delete your account, copies of that information may remain viewable elsewhere to the extent it has been shared with others or it was copied or stored by other users. However, your name will no longer be associated with that information on MedRepublic. Additionally, we may retain certain information to prevent identity theft and other misconduct even if deletion has been requested. If you have given third party applications or websites access to your information, they may retain your information to the extent permitted under their terms of service or privacy policies. �But they will no longer be able to access the information through our Platform after you disconnect from them.

Backup copies. Removed and deleted information may persist in backup copies for up to 90 days, but will not be available to others.

9. How We Protect Information

We do our best to keep your information secure, but we need your help.

Steps we take to keep your information secure. We keep your account information on a secured server behind a firewall. When you enter sensitive information (such as credit card numbers and passwords), we encrypt that information using secure socket layer technology (SSL). We also use automated and social measures to enhance security, such as analyzing account behavior for fraudulent or otherwise anomalous behavior, may limit use of site features in response to possible signs of abuse, may remove inappropriate content or links to illegal content, and may suspend or disable accounts for violations of our Terms of Service.

HIPAA. All medical information will be encrypted and safeguarded according to the regulations set out in the federal Healthcare Information Portability and Accountability Act of 1996.

Risks inherent in sharing information. Although we allow you to set privacy options that limit access to your information, please be aware that no security measures are perfect or impenetrable. We cannot control the actions of other users with whom you share your information. We cannot guarantee that only authorized persons will view your information. We cannot ensure that information you share on MedRepublic will not become publicly available. We are not responsible for third party circumvention of any security measures on MedRepublic. You can reduce these risks by using common sense security practices such as choosing a strong password, using different passwords for different services, and using up to date antivirus software.

Report Violations. You should report any security violations to us at medrepublic.com.

10. ��Other Terms

Changes. We may change this Privacy Policy pursuant to the procedures outlined in the MedRepublic Terms of Service. Unless stated otherwise, our current privacy policy applies to all information that we have about you and your account. If we make changes to this Privacy Policy we will notify you by publication here. If the changes are material, we will provide you additional, prominent notice as appropriate under the circumstances.

Consent to Collection and Processing in the United States. By using MedRepublic, you consent to having your personal data transferred to and processed in the United States.

Complication Insurance

If you are having surgery outside of the country, your home country insurance is unlikely to cover a edical complication. As a result, we advise that you purchase a complication insurance policy, which is specifically designed to cover individuals who are traveling internationally for medical treatment.
